These terms and conditions ("Terms", "Terms and Conditions") govern your use of the SalesKat mobile application and any related services (collectively, the "Service") operated by SalesKat ("us", "we", or "our"). The Service is designed to act as a real-time assistant to help users in sales calls by utilizing artificial intelligence (AI) for speech-to-text (STT) transcription and leveraging Large Language Models (LLMs) from providers such as OpenAI.

Please read these Terms and Conditions carefully before using our Service. By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the terms, then you may not access the Service. Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who access or use the Service.

The following terminology applies to these Terms and Conditions, Privacy Statement and Disclaimer Notice and all Agreements: "Client", "You" and "Your" refers to you, the person using our Service and compliant to the Company's terms and conditions. When you create an account with us, you must provide information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account on our Service.

You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password, whether your password is with our Service or a third-party service.

You agree not to disclose your password to any third party.

You are responsible for all content and data you input into the Service ("User Content"), including audio from sales calls. You represent and warrant that you have all necessary rights, consents, and permissions to provide and process such User Content, including consent from all participants in recorded conversations as required by applicable laws (e.g., two-party consent laws for call recording).

You must not use the Service for any illegal or unauthorized purpose, or in any way that violates any applicable laws or regulations, including but not limited to privacy laws and intellectual property laws.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SALESKAT EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

SALESKAT MAKES NO WARRANTY THAT (I) THE SERVICE WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS; (II) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (III) THE RESULTS, SUGGESTIONS, OR INFORMATION THAT MAY BE OBTAINED FROM THE USE OF THE SERVICE WILL BE ACCURATE, RELIABLE, COMPLETE, OR EFFECTIVE; (IV) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH THE SERVICE WILL MEET YOUR EXPECTATIONS; OR (V) ANY ERRORS IN THE SERVICE WILL BE CORRECTED.

SALESKAT MAKES NO REPRESENTATIONS OR WARRANTIES REGARDING THE ACCURACY, RELIABILITY, SUITABILITY, OR EFFECTIVENESS OF SUCH FEATURES. ANY RELIANCE ON INFORMATION OR SUGGESTIONS PROVIDED BY THE SERVICE IS STRICTLY AT YOUR OWN RISK. SALESKAT IS NOT RESPONSIBLE FOR ANY ERRORS OR OMISSIONS IN ANY CONTENT GENERATED BY THE AI, OR FOR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF THE USE OF ANY SUCH CONTENT.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SALESKAT, ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, REVENUE, BUSINESS, DATA, USE, GOODWILL, SAVINGS, OR OTHER INTANGIBLE LOSSES) ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SERVICE OR ANY CONTENT OR INFORMATION OBTAINED THROUGH THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT SALESKAT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

SALESKAT'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE USE OF OR ANY INABILITY TO USE ANY PORTION OF THE SERVICE OR OTHERWISE UNDER THESE TERMS, WHETHER IN CONTRACT, TORT, OR OTHERWISE, IS LIMITED TO THE GREATER OF: (A) THE TOTAL AMOUNT OF FEES, IF ANY, PAID BY YOU TO SALESKAT FOR THE SERVICE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO SUCH CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (USD $100.00).

YOU SPECIFICALLY ACKNOWLEDGE AND AGREE THAT SALESKAT IS NOT LIABLE FOR ANY LOSS OF BUSINESS, FINANCIAL LOSSES, LOSS OF CUSTOMERS, DAMAGE TO REPUTATION, OR ANY OTHER DIRECT OR INDIRECT DAMAGES INCURRED BY YOU OR ANY THIRD PARTY AS A RESULT OF YOUR USE OF OR RELIANCE ON THE SERVICE, INCLUDING ANY INFORMATION OR SUGGESTIONS PROVIDED BY THE AI FEATURES. YOU AGREE THAT YOU WILL NOT SUE OR ATTEMPT TO HOLD SALESKAT LIABLE FOR ANY SUCH LOSSES OR DAMAGES. YOUR USE OF THE SERVICE IS ENTIRELY AT YOUR OWN RISK.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

15. Indemnification

You agree to defend, indemnify, and hold harmless SalesKat and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, by you or any person using your account and password; b) a breach of these Terms, or c) User Content you submit, post, transmit, or otherwise make available through the Service, including any claim that your User Content infringed the rights of a third party or violated any applicable law (including call recording consent laws).

16. Governing Law

These Terms shall be governed and construed in accordance with the laws of Netherlands, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service, and supersede and replace any prior agreements we might have between us regarding the Service.

17. Changes to Terms and Conditions

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Service.

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.
